1. Application of these
Terms
1.1 Welcome to our
websites, digital applications, competitions and other digital properties and
online services (Services). The Services are
operated and maintained by MBC FZ LLC, a limited company registered in Dubai,
UAE (we, us, our). Our registered office
is at Building 3, Dubai Media City, PO.Box,
72627, Dubai, UAE. Our official website is at http://mbc.net (Site) and is part of the
Services.
1.2 These terms of use (Terms) applies
to all the Services and govern the relationship between us and each user of the
Services (you, user). Please read these Terms
carefully before you start to use the Services. By using the Services, you
indicate that you accept these Terms and that you agree to abide by them. If
you do not agree to these Terms, please do not use the Services.
1.3 Your use of the

1.4 We may update these
Terms from time to time in response to changing legal, regulatory
or operational requirements. Any changes of these Terms will be published

notice of any such changes (including when they will take effect) in accordance

ensure that you have had the possibility to accept those changes so as to allow you to continue using the Services or to
refuse - in which case, you will be entitled to cancel your use of the
Services.

computer, laptop, mobile phone, smartTV and tablet).
The Terms also apply when you access the Services from a third
party website or application, although you need to be aware that such
third party's own terms of use (and privacy policies) may also apply.

2 Accessing the
Services
2.1 Access to the Services
is permitted on a temporary basis, and we reserve the right to withdraw or
amend any service we provide through the Services without notice. We will not
be liable if for any reason the Services, or parts of the Services, are unavailable
at any time or for any period.
2.2 You are responsible
for making all arrangements necessary for you to have access to the Services.
You are also responsible for ensuring that all persons who access the Services
through your internet connection are aware of these Terms, and that they comply
with them.
3 Our Content
3.1 All rights, including
but without limitation, copyright, database rights and trademarks in the
Services and its contents, whether audio, text, images, video
or any other form (Content), are owned by us or
licensed to us. The Content is protected by copyright laws and treaties around
the world. All those rights are reserved.
3.2 You agree that you
will only access the Services for private use and not for public or commercial
use. You may not copy, distribute, store in any medium, broadcast, transmit,
re-transmit, modify, or show in public all or any part of the Content or Services
without our prior written consent.
3.3 You may otherwise use
the Content for personal, non-commercial use only, but you may not modify the
Content or remove any copyright or other proprietary rights notices contained
in the Content.
3.4 Commentary and other
Content posted on the Services are not intended to amount to advice on which
reliance should be placed. We therefore disclaim all liability and
responsibility arising from any reliance placed on such Content by any visitor
and/or user to the Services, or by anyone who may be informed of any of the

or close them indefinitely. Any of the Content may be out of date at any given

Terms, your right to use the Service will cease immediately and you must, at
our option, return or destroy any copies of the materials you have made.
3.7 All logos, trademark,
trade names, and all intellectual property related to MBC and posted within the
site is a trade mark of MBC and which may be
registered in certain jurisdictions. All other trade marks used on our site are the property of
their respective owners.
4 Contributions
Please read this section
carefully before submitting any contributions to the Services.
4.1 Where you are invited
to submit any contribution to the Services (including any text, graphics, video
and audio) you or your licensors continue to own that content and you grant to
us a perpetual, worldwide, royalty-free, non-exclusive, sub-licensable right
and license to use, reproduce, modify, adapt, publish, translate, create
derivative works from, distribute, perform, play, communicate to the public and
exercise all copyright and publicity rights with respect to any such work
and/or to incorporate it in other works in any media now known or later
developed for the full term of any rights that may exist in such content,
consistent with privacy restrictions set out in our Privacy Policy https://www.mbc.net/privacy-policy. If you do not wish to
grant such rights to us, do not submit your contribution to the Services.
4.2 You are solely
responsible for any contribution you submit to the Services and by submitting
your contribution, you:
(i)
warrant that such contribution is your own original work and that you have the
right to make it available to us for all the purposes specified above; (ii)
agree to waive any moral rights in your contribution for the purposes of its
submission to and publication on the Services and the other purposes specified
above; (iii) warrant that your contribution does not infringe the rights of, or
restrict or inhibit the use and enjoyment of this Services by, any third party;
and (iv) warrant that your use of the Services and submission is not illegal or
unlawful and does not, harass or cause distress or inconvenience to any person
and will not contain obscene or offensive content or disrupt the normal flow of
dialogue within these Services.
4.3 You will not, nor will
you encourage any other party to, make any statement or introduce any content
which includes:
(i)
promoting swearing and/or unacceptable, indecent, defamatory, threatening,
violent or discriminatory (based on race, religion, sex, sexual orientation,
national origin, age or disability, physical or mental) language; (ii)
discussions that encourage, promote or provide harmful information about
illegal or criminal activities (including but not limited to pornography,
explosives, weapons, violence, drugs, programming viruses, computer hacking and
copyright infringement); (iii) posting of addresses for other web sites,
applications, or services, containing content that infringes any third party's
intellectual property rights; (iv) content which breaches any legal duty owned
to a third party, such as a contractual duty or duty of confidence; (v)
exchanging telephone numbers or home addresses, the harassment of other users
of the Services (either privately or in a public forum); (vi) the impersonation
of our staff, celebrities or any other characters or person; (vii) false or
misleading indications of origin or statements of fact; (viii) actions that
would disrupt or impair the functioning, stability or security of the Services
(including but not limited to the introduction of viruses, bugs, worms, Trojan
horses or any other form of contaminants), or would reverse-engineer, track,
log, or otherwise listen in on communications or traffic within, or between,
the Services, or their users; (ix) advertisements, promotions, unsolicited
approaches, or any other use of the Services for unauthorized commercial purposes;
(x) any derogatory remarks about us or the Services or any third party parties,
products or services; and (xi) content which is detrimental to us.
4.4 We will determine, in
our sole discretion, whether there has been a breach of sections 4.2 or 4.3
above through your use of the Services. When a breach of these sections has
occurred, we may take such action as we deem appropriate, including:
(i)
the immediate, temporary or permanent withdrawal of your right to use the
Services and/or any of its features; (ii) the issue of a warning to you; (iii)
legal proceedings against you for reimbursement of all costs on an indemnity
basis resulting from the breach; (iv) further legal action against you; and (v)
disclosure of such information to law enforcement authorities as we reasonably
feel is necessary. We exclude liability for actions taken in response to
breaches of sections 4.2 and 4.3 above. The responses described in this section
above are not limited and we may take any other action we reasonably deem
appropriate.
4.5 Although we ask all
Services users to adhere to these Terms, you acknowledge that other users may
publish material that you consider offensive or objectionable. We assume no
responsibility or liability for the individual user content published through
the Services and such publications do not represent our views.
5 Age of consent
5.1 Please note you must
be 18 years of age or older to use the Services. In certain jurisdictions, the
age of majority may be older than 18, in which case, you must satisfy that age in order to become a user. While individuals under the age
of 18 may utilize the Services, they may do so only with the involvement,
supervision, and approval of a parent or legal guardian.
5.2 The parent or guardian
of anyone under 18 using these Services should review these Terms carefully. If
you permit a child to use a device to access, view or listen to Content on
these Services you are solely responsible for deciding whether
or not that Content is appropriate for that child.
5.3 Contributions
submitted and/or read by minors are subject to the consent of their parent or
guardian. We strongly advise any parent or guardian who permits minors to use
the Services to communicate to the minors the importance of safety and
vigilance online.
6 Accounts and
Registration
6.1 We may from time to
time offer various features through the Services that require registration or
the creation of an account. If at any time you choose to register or create an
account with us, the additional terms and conditions set forth below will also
apply.
6.2 You are responsible
for all use of your account, including use of your account by other members of
your household. By allowing others to access your account, you agree to be
responsible for ensuring that they comply with these Terms
and you agree to be responsible for their activity and behaviour while using
the Services.
6.3 All account
registration information you submit must be accurate and updated. We may, from
time to time, send important notifications to you over your registered email,
therefore we shall not be liable if you have missed an important notification
due to providing an inaccurate email address to your registered account or an
email that you do not check on regular basis.
6.4 Please keep your
password confidential. You will not have to reveal it to any MBC
representative. Because you are responsible for all use of your account,
including unauthorized use by any third party, please be very careful to guard
the security of your password. Please notify us as soon as you know of, or
suspect any unauthorized use of, your account. Please also make sure to notify
us if your registration information changes, in case
we need to contact you. You may terminate your account provided that such
termination is compliant with the Termination procedures of the Service through
the Services.
6.5 If we disable your
account, you will not be able to create another one without our permission.
6.6 We reserve the right
to immediately terminate or restrict your account or your use of the Services
or access to Content at any time, without notice or liability, if we determine
in our sole discretion that you have breached these Terms, violated any law,
rule, or regulation, engaged in other inappropriate conduct, or for any other
business reason. We also reserve the right to terminate your account or your
use of the Services or access to Content if such use places an undue burden on
our networks or servers.
7 Competitions
From time to time, we
shall run competitions via the Services. If you wish to take part in any such
competition you must at the time of entry confirm that you agree to be bound by
the Competition Terms & Conditions and any other specific rules which may
apply from time-to-time to any such competition.
8 Links
8.1 You may share a link
to pages on our Services, provided you do so in a way that is fair and legal
and does not damage our reputation or take advantage of it, but you must not
establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
8.2 You must not establish
a link from any website or application that is not owned by you as your proper
work and/or property.
8.3 You may use the
facilities we provide on the Services to share content to social networks,
provided you do not remove the links back to the original content. However, you
may not download material, and then upload it to another website, application, or
service. Where the Services contain links to other websites and resources
provided by third parties, these links are provided for your information only.
We have no control over the content of those third parties
sites or resources, and accept no responsibility for them or for any loss or
damage that may arise from your use of them.

9 Payment and Charges
9.1 There is no charge to
use the Services, unless explicitly mentioned. However, your internet service
provider may impose charges for you to have access to the amount of bandwidth
required to use the Services. In addition, when accessing the Service from a
mobile device there may be additional network charges according to your
contract with your mobile operator.
9.2 Some Services offer
paid services in return of a fee (“Fees”) for paid package and/or in-app
purchases (“Paid Services”). The fees of such Paid Services may vary from one
country to another and shall be paid in the currency of the country in which
the user is using the Paid Service and shall be subject to local taxation laws.
9.3 We use a third party vendor for processing payment of the Fees and
will never ask you for bank details nor credit card.
Before
using the Paid Service, it is recommended that the user shall make necessary enquiry
about the charges or fees payable against the Credit/Debit card used from
Credit Card or the Debit Card service provider i.e. the respective Bank.
The credit card
information supplied at the time of using the Paid Service is processed by the
payment gateway and is not supplied to MBC. It is the sole responsibility of
the User to ensure that the information entered in the relevant fields are
correct. It is recommended that you take and retain a copy of the transaction
for record keeping purposes, which might assist in resolution of any disputes
that may arise out or usage of the Paid Service.
The User agrees, understands and confirms that his/ her personal data
including without limitation details relating to debit card/ credit card/net
banking transmitted over the Internet may be susceptible to misuse, hacking,
theft and/ or fraud and that MBC or the Payment gateway have no control over
such matters.
The Paid Service is
provided using a payment gateway service provider through a secure website.
However, neither the payment gateway service provider nor MBC gives any
assurance, that the information so provided online by a user is secured or may
be read or intercepted by a third party. MBC does not accept or assume any
liability in the event of such unauthorized interception, hacking or other
unauthorized access to information provided by a User.
We encourage you to read
the payment gateway terms and conditions in this respect.
9.4 If you are accessing
the Paid Services through a voucher or some limited offer which you received or
purchased from us (Limited Offer), these Terms apply to your access to the Paid
Services. Any separate sets of terms and conditions presented to you along with
the Voucher and the Limited Offer also apply to your access to the Services.
9.5 From time to time, we
may offer trials of the paid Services for a specified period for free (Trial).
We reserve the right, in our absolute discretion, to determine your eligibility
for a Trial, and to withdraw or to modify a Trial at any time and with no
liability. In such case, we will notify you via email.
9.6 For some Trials, we’ll
require you to provide your payment details to start the Trial. At the end of
such Trials, we may automatically start to charge you for the paid Services on
the first day following the end of the Trial, on a recurring monthly basis. By
providing your payment details in conjunction with the Trial, you agree to this
charge. If you do not want this charge, you must change your Subscription to
the Free Service through your registered account’s settings before the end of
the Trial.
9.7 User understands that
refund of the Fees is not available, and MBC shall only compensate using a free
subscription discount matching the period of compensation
In the event we conclude
that the user has suffered a legit invalid transaction, MBC shall process a
refund. Such refund shall be decided by MBC and its sole discretion.
Some refunds could be available but it’s not done through MBC; users should
request it themselves, like Apple iTunes refunds and is subject app stores’
terms and conditions.
10 Liability
10.1 The Content displayed
on the Services is provided without any guarantees, conditions
or warranties as to its accuracy.
10.2 In respect of your
use of the Services, we and any group companies, and the officers, directors,
employees, shareholders and agents of any of them, exclude all liability for
any amount or kind of loss or damage that may result to you or a third party
(including without limitation, any direct, indirect, punitive or consequential
loss or damages, or any loss of income, profits, goodwill, data, contracts, use
of money, or loss or damages arising from or connected in any way to business
interruption, and whether in tort (including without limitation negligence),
contract or otherwise) in connection with the use, inability to use or the
results of use of the Services, including but not limited to loss or damage due
to viruses that may infect your computer equipment, devices, software, data or
other property, on account of your access to, use or browsing of, the Services.
10.3 The foregoing does
not affect any liability we may have which cannot be excluded or limited under
applicable law.
11 Indemnity
11.1 You agree to
indemnify us and our affiliates and our respective directors, officers, employees and agents, as well as their licensors and
suppliers, from and against any and all claims, actions, suits or proceedings,
as well as any and all losses, liabilities, damages, costs and expenses
(including reasonable legal fees) arising out of:
11.1.1 any
misrepresentation, act or omission made by you in connection with your use of
the Services; or
11.1.2 any non-compliance
by you with these Terms.
12 Jurisdiction and
Applicable Law
12.1 The Dubai courts in
the U.AE. will have exclusive jurisdiction over any claim arising from, or
related to, a visit and/or usage to and of the Site and/or Services.
12.2 These Terms and any
dispute or claim arising out of or in connection with them or their subject
matter or formation (including non-contractual disputes or claims) shall be
governed by and construed in accordance with the laws of the U.A.E.
